What is a Share Register?
A Share Register (also known as a Register of Members) is an official record that shows:
- Who owns shares in a company
- How many shares they own
- When they became a shareholder
- Any changes to ownership over time
It is a legal record of ownership of a company.
Why is it required?
The Share Register is required to:
- Confirm ownership and control of the company
- Support Ultimate Beneficial Ownership (UBO) verification
- Improve transparency and compliance
- Align with international standards (AML/CFT)
As per VFSC requirements:
- All Local Companies must submit a Share Register
Who must prepare it?
Who must prepare it?
- New companies during registration
- Existing companies (must update and submit)
- Prepared by:
- Company directors, or
- Registered agents
What information must be included?
Each shareholder entry should include:
- Full Name
- Address
- Nationality
- ID/Passport Number
- Number of Shares
- Type/Class of Shares (if applicable)
- Date of becoming shareholder
- Signature (optional but recommended)
When should it be updated?
The Share Register must be updated:
- When shares are issued
- When shares are transferred
- When a shareholder is added or removed
It must always reflect the current ownership of the company.

A copy must be provided to VFSC when required.
